1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client") and CallIT ("Provider"). By engaging in any services provided by CallIT, the Client explicitly agrees to these Terms, without exception. Any deviation from these Terms must be agreed upon in writing and signed by an authorized representative of CallIT.
2. Services Provided
- Cloud Hosting & IT Solutions: Managed cloud services, IT consulting, and secure collaboration platforms.
- Network Security & Support: Firewall management, VPN setup, endpoint security, and IT troubleshooting.
- Access Control & CCTV: Installation, monitoring, and maintenance of security camera systems and access control solutions.
- VOIP & Telephony Services: Setup, configuration, and management of enterprise-grade VOIP phone systems.
- Additional Services: Any other services not explicitly listed must be specified in the Client's quote or invoice.
3. Client Responsibilities
- Client must provide timely access to IT infrastructure, login credentials, and any required assets for service delivery.
- Client must approve all system configurations and security policies within a reasonable timeframe to prevent service delays.
- Client is solely responsible for compliance with IT security best practices as advised by CallIT.
- Client must maintain open communication and cooperation with CallIT for issue resolution and optimal service delivery.
4. Payment Terms
- All invoices are due upon receipt unless otherwise stated in the service agreement.
- Failure to remit payment within 7 days of the due date shall result in service suspension without further notice.
- After 30 days of non-payment, CallIT reserves the right to terminate services permanently and take legal action for recovery of unpaid fees, including applicable legal costs and collection fees.
- Payments confirm acceptance of services rendered and waive any dispute regarding the quality of service provided.
5. Service Timelines
While CallIT will make commercially reasonable efforts to meet agreed-upon deadlines, the Client acknowledges that delays caused by third parties, incomplete client-provided information, force majeure events, or unforeseen technical limitations may impact service delivery. CallIT shall not be liable for any consequential damages due to service delays.
6. Cancellation & Termination Policy
Client may terminate this agreement with 30 days' written notice. CallIT reserves the right to terminate services immediately if the Client engages in activities that compromise network security, breaches these Terms, or engages in fraudulent or unlawful activity.
All outstanding fees must be paid in full before termination is finalized. No refunds or credits shall be issued for early termination unless explicitly agreed to in writing by CallIT.
7. Dispute Resolution
- All disputes must be submitted in writing within 10 business days of the event giving rise to the dispute.
- Disputes shall first be addressed through good-faith mediation. If unresolved, disputes will be subject to binding arbitration in [State/Province].
8. Limitation of Liability
- CallIT shall not be liable for service disruptions due to external factors including but not limited to cyber-attacks, natural disasters, power failures, regulatory changes, or client-side misconfigurations.
- CallIT’s maximum liability for any claim shall not exceed the total amount paid by the Client in the most recent billing cycle.
- In no event shall CallIT be liable for indirect, consequential, or punitive damages, including data loss, business interruption, or reputational damage.
9. Confidentiality
Both parties agree to maintain strict confidentiality of proprietary, personal, or sensitive data exchanged during the term of service. Any breach of confidentiality by the Client shall result in immediate termination of services.
10. Non-Guarantee of Results
CallIT makes no guarantees regarding the effectiveness of IT solutions, system performance, or business outcomes. Services are provided on an “as-is” basis, and the Client assumes all risks associated with their use.
11. Data Ownership & Access
- The Client retains full ownership of data hosted on CallIT’s managed platforms.
- CallIT reserves the right to restrict access to data if the Client’s account is delinquent or in breach of these Terms.
- Data migration or retrieval requests may be subject to additional service fees.
12. Amendments
CallIT reserves the right to modify these Terms at any time. Continued use of services constitutes acceptance of the revised Terms.
13. Governing Law
This agreement shall be governed and enforced under the laws of [Your State/Province], and any legal actions shall be filed in the courts of said jurisdiction.
14. Indemnification
The Client agrees to fully indemnify, defend, and hold harmless CallIT, its officers, employees, and affiliates from any and all claims, damages, losses, or legal fees resulting from the Client’s misuse of services, failure to comply with security protocols, or any breach of these Terms.
15. Severability
If any provision of these Terms is deemed unenforceable by a competent court, the remainder shall remain in full force and effect.
